1. Use of the Site
- You may use the Site for lawful purposes to learn about our services and to contact us.
- You must not attempt to gain unauthorised access to any part of the Site, interfere with its operation, submit automated or bulk enquiries, scrape content at scale, or introduce malicious code.
- We may suspend or restrict access to the Site, or block abusive traffic, at any time without notice.
2. Enquiries and proposals
Submitting an enquiry through the Site does not create a contract. Any estimates, timelines or budgets we share in response are indicative until confirmed in an Engagement Agreement signed or accepted in writing by both parties.
We will treat the information you share in an enquiry as confidential and use it only to evaluate and respond to your request, in line with our Privacy Policy.
3. Our services
Vertical Infinity provides digital product development, workflow automation, legacy modernisation, AI and automation, experience design, digital commerce, performance and managed-support services. For each engagement the scope, deliverables, fees, payment schedule, timelines and acceptance criteria are set out in the Engagement Agreement. Unless that agreement says otherwise:
- Fees are quoted in Indian Rupees (INR) exclusive of GST and other applicable taxes, which are charged additionally.
- Invoices are payable within the period stated on the invoice. We may pause work on overdue accounts after notice.
- You will provide timely access, content, approvals and decisions needed for us to deliver; delays on your side may shift timelines.
- Third-party services you choose (cloud hosting, SaaS licences, domains, app-store fees, payment gateways) are contracted and paid by you unless we agree to resell them.
4. Intellectual property
- Your IP stays yours. On payment in full for an engagement, all bespoke code, designs and content we create for you under that engagement are assigned to you (or licensed to you as set out in the Engagement Agreement).
- We retain ownership of our pre-existing tools, libraries, frameworks, know-how and generic components, and grant you a perpetual, royalty-free licence to use them as part of the deliverables.
- Open-source components remain subject to their own licences.
- The Site, its design, text, graphics, logos and the Vertical Infinity name and marks are owned by us or our licensors and may not be reproduced without permission, except for fair personal or non-commercial use with attribution.
- Unless you tell us otherwise in writing, we may name you as a client and show non-confidential work in our portfolio after launch.
5. Confidentiality
Each party will keep the other's non-public business, technical and financial information confidential, use it only for the purposes of the engagement, and protect it with at least reasonable care. This obligation survives the end of any engagement for 3 years, and indefinitely for trade secrets and personal data.
6. Warranties and disclaimers
We warrant that services will be performed with reasonable skill and care by suitably qualified people, and that deliverables will materially conform to the agreed specification for the warranty period set out in the Engagement Agreement (30 days after acceptance if none is stated). Our sole obligation for breach of this warranty is to correct the non-conformance at no charge.
The Site and its content are provided "as is" for general information. We do not warrant that the Site will be uninterrupted or error-free, or that information on it (including indicative pricing, timelines or third-party ratings) is complete or current. Nothing on the Site constitutes legal, financial or professional advice.
7. Limitation of liability
To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special or consequential loss, loss of profit, revenue, data or goodwill, however arising.
Our total aggregate liability arising out of or in connection with an engagement is limited to the fees paid by you for that engagement in the 12 months preceding the claim. Our liability in connection with use of the Site itself is limited to INR 10,000.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, wilful misconduct, or any liability that cannot be limited under applicable law.
8. Termination
Either party may terminate an engagement for material breach not cured within 30 days of written notice, or for convenience on the notice period stated in the Engagement Agreement. On termination you will pay for work performed up to the termination date, and we will hand over completed deliverables and work-in-progress that have been paid for.
9. Governing law and disputes
These Terms and any dispute arising from them are governed by the laws of India. The courts at Mumbai, Maharashtra have exclusive jurisdiction, subject to any arbitration clause in an Engagement Agreement. Before starting proceedings, the parties will try in good faith to resolve the dispute through discussion between senior representatives for at least 30 days.
10. General
- If any provision of these Terms is held invalid, the rest remain in effect.
- Neither party is liable for delay caused by events beyond its reasonable control (force majeure), provided it notifies the other promptly.
- These Terms, the Privacy Policy and any Engagement Agreement form the entire agreement between us regarding their subject matter.
- We may update these Terms from time to time; the version published on the Site at the time you use it applies. Engagement Agreements are governed by the Terms in force when they were signed.
